1、在路透35亿美元出售交易中，安理和瑞生分别担任牵头法律顾问

A&O and Latham score key roles on $3.5bn Reuters sale
It was revealed that Reuters has sold the non-core units for $3.55bn to Canadian buyout group Onex Corporation and Baring Private Equity Asia as the company narrows its focus onto its core financial business. A New York-based team from Allen & Overy led by partner Peter Harwich led legal advice to Reuters on the sale， while also providing IP and tax support. Buyers Onex and Baring instructed Latham & Watkins for the acquisition， with Washington DC-based partner Paul Sheridan and Chicago-based partner Shaun Hartley leading the team.
Reuters first announced the prospective sale of its science and intellectual property arms in November， sparking widespread interest from private equity houses. The businesses - which include products such as Thomson CompuMark， MarkMonitor， Thompson Reuters Cortellis and Thompson IP Manager - accounted for just 8 per cent of the group‘s global revenues in 2014. The $3.55bn sale is the largest transaction involving Thompson Reuters since the acquisition of Reuters Group by Thompson Corporation in 2008. (Global Legal Post)

Vanke， partners in talks to pay Blackstone $1.9 billion for property firms
China Vanke Co Ltd said it and partners are in talks to acquire some commercial property firms from Blackstone Group LP and other third parties for 12.9 billion yuan ($1.9 billion).
The disclosure is a more detailed response by Vanke， currently mired in a high-profile corporate power struggle， to enquiries from the Shenzhen bourse after criticism by its second-biggest shareholder that the board’s approval of a white knight deal was not valid as one director had abstained from voting.
Fearing a hostile takeover bid by its biggest shareholder， financial conglomerate Baoneng， Vanke‘s management last month announced a $6.9 billion deal with Shenzhen Metro Group， which would dilute the holdings of Baoneng and China Resources.
The country’s largest listed property developer said in a statement it would spend about 3.9 billion yuan on the acquisitions but added that the financing of the deal would not entail the issuance of any securities. (Reuters)

A&O and Freshfields win mandates as Abu Dhabi banks agree $175bn merger
Allen & Overy (A&O) and Freshfields Bruckhaus Deringer have advised on the creation of the largest bank in the Middle East and North Africa (MENA) region.
The bank will be created following the merger of First Gulf Bank and National Bank of Abu Dhabi with combined assets of approximately $175bn (£131.9bn).
Freshfields advised First Gulf Bank on the merger， with a team led by MENA regional managing partner Pervez Akhtar and Abu-Dhabi-based partner Michael Hilton.
Meanwhile A&O worked with National Bank of Abu Dhabi， with a team understood to be led by Abu Dhabi managing partner Ibrahim Mubaydeen and supported by UAE corporate partner Nicholas Stuart.
Following the merger， the bank will retain the name of National Bank of Abu Dhabi and operate a network of branches spanning 19 countries. (The Lawyer)

U.S. SEC takes another step toward tighter swaps regulation
The top U.S. securities regulator on Wednesday took another step toward tightening its oversight of security-based swaps by proposing new reporting requirements for transactions， nearly six years after Congress directed it to build a regulatory regime for the derivatives.
“These provisions will result in increased transparency which should allow for a more efficient market， better price discovery， and increased competition，” said Democratic Commissioner Kara Stein at a Securities and Exchange Commission (SEC) meeting， saying the proposal will cast “light on this previously opaque market.” (Reuters)

Huawei Technologies Files Patent Suit Against T-Mobile US
Huawei Technologies Co. said it has filed a lawsuit against T-Mobile US Inc.， alleging the U.S. telecommunications carrier violated the Chinese company‘s patents related to wireless networks.
In its complaint filed this week in the U.S. District Court for the Eastern District of Texas， Huawei said T-Mobile is using its patented technology without signing a licensing agreement.
This isn’t the first time Huawei and T-Mobile have been involved in a legal tussle. In 2014， T-Mobile filed a lawsuit in the U.S. against Huawei alleging the Chinese company had taken its technology related to phone-testing robots. That suit is going to trial in the fall.
Huawei‘s latest lawsuit comes after it sued Samsung in the U.S. and China in May， alleging the South Korean firm had violated its mobile patents. The move marked the first major legal challenge by a Chinese smartphone maker against a market leader. Samsung has said it would defend itself in the lawsuit. (WSJ)

Court ruling could make sharing Netflix and Spotify passwords a federal crime
Sharing passwords to access streaming sites such as Netflix， Amazon Prime and HBO Go could be a federal crime， according to a new ruling.
Three judges from the US court of appeals from the ninth circuit issued a ruling on Tuesday that such activity now constitutes a criminal act， under the Computer Fraud and Abuse Act (CFAA).
The ruling came from the ongoing United States v Nosal case， filed against David Nosal， a former employee of the recruitment firm Korn/Ferry. Nosal left the recruitment firm in 2004 to launch a competitor， and allegedly used a former co-worker’s password to access a work computer after his personal access was revoked.
Nolan was charged in 2008 with hacking under the CFAA and the court concluded that he acted “without authorization” in violation of the law.
According to the outcome of Nosal‘s case， no person giving their password to someone else constitutes authorization - the company that issued it has to allow it. (The Guardian)

Phillip Morris loses tough-on-tobacco lawsuit in Uruguay
The World Bank’s International Centre for Settlement of Investment Disputes (ICSID) ruled in favor of Uruguay on Friday in a suit filed by Philip Morris International seeking compensation for economic damages caused by the nation‘s anti-tobacco measures.
Uruguay imposed a ban on smoking in public spaces in 2006， as it raised taxes on tobacco products and forced firms to include large warnings and graphic images including diseased lungs and rotting teeth on cigarette packages. It also banned the use of the words “light” and “mild” from cigarette packs to try to dispel smokers’ misguided beliefs that the products are safer.
In a lengthy decision published on Friday， the ICSID said it had ruled to dismiss Philip Morris‘ demand that the regulations be withdrawn， or not applied to the company， or that it be paid $22 million in damages instead.
It ordered the tobacco company to pay Uruguay $7 million and to cover “all the fees and expenses of the Tribunal and ICSID’s administrative fees and expenses.” (Reuters)

Debt collector convicted for U.S. scheme targeting 6，000 people
A Georgia debt collection company‘s owner was convicted on Tuesday of having engaged in a scheme to shake down more than 6，000 financially strapped consumers nationwide by warning they could face arrest or prison if they failed to pay up.
John Williams， who owned Williams， Scott & Associates LLC， was found guilty by a federal jury in Manhattan of conspiring to commit wire fraud. The trial spotlighted efforts by U.S. authorities to combat unscrupulous debt collectors.
Williams faces up to 20 years in prison at his scheduled Oct. 28 sentencing before U.S. District Judge Richard Sullivan. He has been held without bail since his November 2014 arrest.
Some debt collection firms buy delinquent debts， often for just pennies on the dollar， and try to collect the full amounts owed. The firms often justify their tactics by saying they are simply seeking to recoup money owed. (Reuters)

21st Century Fox settles seminal lawsuit over unpaid internships
Two 21st Century Fox Inc units have settled class-action litigation by former interns who said they should have been paid for their work， in a case that sparked multimillion-dollar settlements with interns at other big media companies.
According to papers filed on Tuesday in Manhattan federal court， Fox Searchlight Pictures and Fox Entertainment Group will pay $495 to each claimant who interned without pay for at least two weeks at various times between 2005 and 2010.
The accord marks a quiet end to a lawsuit that forced companies to rethink how they use interns， and whether failing to pay students and recent college graduates looking for practical experience violated minimum wage laws. (Reuters)

Cliff Richard starts legal action against BBC and South Yorkshire Police
Cliff Richard has instructed lawyers to make formal legal complaints to South Yorkshire Police and the BBC over their handling of a police raid on his home.
Police investigating historical sex allegations launched an investigation in 2014， which was filmed by the BBC.
Sir Cliff， 75， was told last month that he would not face criminal proceedings.
“My life was effectively turned upside down and my reputation， worldwide， was unnecessarily damaged. I would not want the same to happen to others whether in the public eye or not.”

Next U.N. chief ballots remain secret， despite televised debates
Ten of the 12 candidates vying to be the next United Nations Secretary-General took part in live televised debates on Tuesday， a first for the world body， but attempts to bring unprecedented transparency to the race will not extend to the Security Council selection process.
The 193-member U.N. General Assembly has sought to lift a veil of secrecy that has surrounded the election of the U.N. chief for the past 70 years by requiring public nominations and holding campaign-style town hall events with each candidate.
The search for a successor to Secretary-General Ban Ki-moon - a former South Korean foreign minister who steps down at the end of 2016 after two five-year terms - has sparked a push by more than a quarter of the 193 U.N. states for the world body’s first female leader. (Reuters)

KWM mulls cash call after increasing Barclays facility to £25m
King & Wood Mallesons‘ (KWM) European and Middle East business is mulling a cash call months after increasing its loan facility with Barclays from £20m to £25m， as the firm strives to recover from a torrid 18 months.
The move to address finances comes amid a challenging period for KWM in Europe. The firm has been struggled following a series of high-profile partner exits in the last 12 months and carried out a partnership restructuring that saw 24 partners asked to leave in March. EUME was last year the worst performing member of KWM， which operates a Swiss verein model that keeps liability and finances separate， as global revenue fell 1% to $1.02bn (KWM posted revenue growth estimated at 8% but its results are depressed in conversion to the strong dollar). While not directly comparable given the overlap in reporting periods， KWM’s EUME business generated £181.3m in revenue during the 2015 calendar year compared to £191m in 2014/15.
Just weeks after the partner restructuring was announced， a six-partner private equity team in Paris resigned for US law firm Goodwin Procter in a severe blow for KWM. The Paris team， which included Paris managing partner Christophe Digoy and big-biller Maxence Bloch， is understood to have walked out with at least £8m in annual billings. KWM has lost a number of other partners with substantial billings in the last two years. (Legal Business)

One in three law grads haven‘t found professional roles， study finds
Data from the Higher Education Statistics Agency shows that only 62 per cent of law graduates have secured employment in a professional occupation six months after completing their degree， while 33 per cent of employed law grads have non-professional roles such as administration， secretarial services or sales. A further 10 per cent of law graduates are unemployed six months after completing their degree. The rate of professional employment is considerably lower than the 71 per cent average for students across all disciplines， and a fair drop below fields like engineering， computer science and technology wherein more than 80 per cent of grads have found professional roles within six months of graduating.
Though improving， average salaries for new law graduates are also considerably lower than some of those in other fields. According to the HESA data， the average annual salary for a student who completed their law degree in 2014/15 was £21，000， up £1，000 per year from the first-year salaries of 2013/14 graduates. However， the average pay packet is notably lighter than the £22，500 average salary across all disciplines， well behind the £24，000 for ’social studies‘ graduates and a fair cry away from the £29，500 average annual salary enjoyed by first-year dentistry and medicine grads， who are the biggest earners on average.
