1. 律所客户开始对“Cravath现象”表示不满。自从本月初美国白靴所Cravath, Swaine & Moore将律师薪水上调、起薪达到18万美元的行业记录后,不少英美大所纷纷开始跟进血拼。在律师们一片欢呼的同时,谁反而会不高兴?没错,就是律所收入的来源——客户。一些全球最大企业的公司法务开始对“Cravath现象”表示质疑,认为这将会提高律所收取的账单费用。道理很简单,律所可没有闲钱大发善心,羊毛出在羊身上,最终恐怕还是要来自对客户的收费。美国银行全球总法律顾问David Leitch就给律所发邮件说,目前看不到这一大幅涨薪的市场基础,我们也不准备替你们的涨薪决定买单。Public Storage的首席法务官Lily Hughes更进一步表示,如果在律所的小时费率上体现了这一涨薪,那么客户将会重新考虑对外部法律工作的分配,会给较小的地区律所和中等律所更多机会。Lecorpio总法Doug Luftman也表示,如果小时费率因此提高,那么会加快自动化和人工智能法律技术在公司法务团队中的普及。

Clients start speaking out against the 'Cravath effect'
Associates are no doubt delighted by the race to $180k engulfing the world's biggest law firms - but the clients who fear they'll be footing the bill are less happy.
As the number of firms declaring that they’ll match Cravath’s new bumper associate salary brackets continues to grow, in-house lawyers from some of the world’s biggest organisations have begun to question what the ‘Cravath effect’ will mean for the fees law firm clients are charged. Earlier this week, Bank of America global general counsel David Leitch sent an email to law firms expressing his concern that the 12.5 per cent industry-wide salary raise was not justified by the market: ‘While we respect the firms’ judgement about what best serves their long-term competitive interests, we are aware of no market-driven basis for such an increase and do not expect to bear the costs of the firms’ decisions,’ he wrote.
Public Storage chief legal officer Lily Hughes took Mr Leitch’s comments one step further, suggesting that clients will likely reevaluate the way they distribute their outside legal work if the pay raise is reflected in their hourly rates. ‘As rates percolate, this might give more opportunity to smaller regional and mid-sized firms,’ she said. Lecorpio general counsel Doug Luftman also suggested that the pay raise, if reflected in hourly rates, might accelerate the popularity of automated and AI legal technologies with in-house legal teams: ‘All of this is going to accelerate the use of information tools and software,’ he told Corporate Counsel. Dentons UKMEA turnover lifts 7 per cent
The global megafirm has reported steady growth with revenue in the UK, Middle East and Africa region increasing from £155m to £165m in the 2015/2016 financial year.
The growth rate of 7 per cent is more or less on a par with the 6 per cent increase reported for the 2014/2015 financial year, when turnover at the firm grew from £146.3m to £155m. The firm has also reported healthy growth in net profit, which rose 15 per cent from £34m to £39m over the last financial year. Meanwhile, profit per equity partner rose by 6 per cent from £502,000 to £530,000 in the last financial year after spiking by 23 per cent the year before. Dentons’ UKMEA chief executive Jeremy Cohen attributes the firm’s continued growth to an aggressive program of mergers and acquisitions and an increase in cross-border work across its corporate and commercial practice: ‘The benefits of being part of a global firm is that a huge portion of our work involves more than one region or office,’ he said, adding that the firm’s corporate arm had enjoyed a ‘particularly strong’ year. Elon Musk's Tesla Motors Inc said on Tuesday it has made an offer to acquire solar panel maker SolarCity Corp in an all-stock deal worth as much as $2.8 billion, as the electric car maker looks to get into the market for sustainable energy for homes and businesses.
Tesla shares plunged 10 percent to $196.75 in extended trading on Tuesday, while SolarCity shares rose about 23 percent to $26.05. (Reuters)

McDonald's gets bids from Beijing Tourism, Sanpower for China, Hong Kong sale: sources
McDonald's Corp has received more than half a dozen bids for its planned sale of China and Hong Kong stores, including offers from Beijing Tourism Group, Sanpower and ChemChina in a deal worth about $3 billion, people familiar with the matter told Reuters.
McDonald's is offering a 20-year master franchise agreement to buyers as part of the deal, but has placed restrictions which has discouraged some private equity firms from participating in the process, the people added.
Bruised by food safety scandals and changing tastes, McDonald's is also selling a big stake in its Japanese arm. (Reuters)

QEP Resources to pay $600 million for Permian shale acreage
U.S. oil producer QEP Resources Inc said on Tuesday it would spend $600 million to buy acreage in the Permian Basin of Texas, the latest in a recent string of sector acquisitions as crude prices stabilize near $50 per barrel.
The deal comes a day after Marathon Oil Corp said it would pay $888 million for Oklahoma acreage. Devon Energy Corp, Pioneer Natural Resources Co and others have announced similar deals so far this month, eager to ink agreements as oil prices rise from lows plumbed in 2015.
QEP plans to buy 9,400 acres in Texas from unnamed sellers, funding the deal by offering 20 million shares of its stock. (Reuters)

Uber is added to surge-pricing lawsuit, could prompt arbitration
A federal judge said Uber Technologies Inc can be added as a defendant in an antitrust lawsuit against its chief executive officer over its pricing practices, an outcome the ride-sharing service wanted in its bid to force the case into arbitration.
In a decision made public on Monday, U.S. District Judge Jed Rakoff in Manhattan called Uber a "necessary party" to Connecticut passenger Spencer Meyer's lawsuit against CEO Travis Kalanick, given its interest in maintaining its surge pricing algorithm and its contracts with drivers.
Rakoff suggested that Meyer might have sued only Kalanick to avoid a clause in his user agreement requiring that disputes with San Francisco-based Uber be arbitrated.
Uber had made the same argument, accusing Meyer of pursuing a "strategic effort" to avoid arbitration even as he sought a large amount of information from the company, through Kalanick.
Arbitration can make it harder to pursue group claims, and because of the cost can dissuade individuals from seeking remedies at all. (Reuters)

Supreme Court Upholds Rules That Have Been Friendly to Patent Challenges
The Supreme Court on Monday blessed new government procedures for challenging patents, a win for companies that argued the fledgling process was a better, more cost-effective way to weed weak patents out of the system.
The ruling is a blow for companies that favor strong patent protections, such as those in the pharmaceutical and biotechnology industry. It is a boost for technology companies like Alphabet Inc.’s Google and Apple Inc. that have taken advantage of new procedures at the U.S. Patent and Trademark Office to challenge the validity of patents they believed made weak claims to new innovations.
The case focused on Patent Office regulations that implemented part of a 2011 congressional overhaul of the nation’s patent system. Many supporters of the law argued there were too many questionable patents in the U.S. and it was too slow and expensive to challenge them in court. (WSJ)

New York bill would ban Airbnb listings for some short-term rentals
New York State has passed legislation that would ban Airbnb users from listing some short-term rentals, a move that represents a new line of attack by legislators against the company in one of its most important markets.
New York already prohibits rentals that last fewer than 30 days if residents are not present, but posting listings for such rentals was not explicitly barred. Under the new legislation, people who post such listings could be fined up to $7,500.
Airbnb said it believed that if the bill were enacted into law, New York would be the first jurisdiction in the world to ban ads for short-term rentals on home-sharing sites. (Reuters)

Unanimous Supreme Court Sets Outer Limit on FCA Liability
The U.S. Supreme Court laid out a new standard in determining False Claims Act liability in a hotly anticipated ruling released June 16, resolving a circuit split on when regulatory violations can give rise to liability, though the ultimate impact on health-care providers could be muddled (Universal Health Servs., Inc. v. United States ex rel. Escobar , 2016 BL 192168, U.S., No. 15-7, 6/16/16 ).
In it's ruling, the Supreme Court said the implied false certification theory of FCA liability is valid but must meet rigorous materiality standards to support claims through regulatory violations. That means courts will have to perform more case-by-case analyses of materiality claims, potentially interjecting greater uncertainty into FCA litigation. (Bloomberg)

Starbucks latte lawsuit to go ahead, judge rules
A US federal judge has ruled that a class action lawsuit which accuses coffee giant Starbucks of 'uniformly under-filling' its lattes should proceed.
On Friday, US District Judge Thelton Henderson rejected an effort by Starbucks to have the complaint against the company dismissed, instead ruling that the California plaintiffs may pursue damages from Starbucks in their proposed nationwide class action lawsuit against the caffeine kingpin. Filed in March, the lawsuit alleges that a recipe change for Starbucks lattes, implemented in 2009, has resulted in lattes that uniformly have approximately 25 per cent less fluid than is advertised for each Starbucks cup size.
Specifically, the lawsuit faults Starbucks for including the ‘foam’ layer on top of their latte beverages as part of the total fluid volume of the drink. The lawsuit alleges that Starbucks changed its recipe in order to save money on milk, without changing its cup sizes or prices to match accordingly. (Global Legal Post)

Apple has begun paying out $400m to customers who were overcharged for ebooks, crediting buyers’ accounts with up to $6.93 per book.
Following a court ruling that the tech giant had conspired with five publishers to fix prices, booksellers on Tuesday started refunding customers who bought the affected ebooks – sold between April 2010 and May 2012 – with store credit in their accounts on Amazon, Barnes & Noble, Kobo and iTunes. FedEx agrees to pay $240 million in driver lawsuits in 20 states that claimed the second-largest U.S. parcel delivery service had misclassified drivers as independent contractors, said the company on Thursday.
FedEx contracted directly with independent contractors until 2011, allowing the Memphis, Tennessee-based company to save on taxes, fringe benefits, health care costs, pensions and other workers’ costs.
The deal subject to approval, consolidated by a federal judge in Indiana, would end nationwide litigation claiming that because drivers would use company-branded trucks, uniforms and scanners, FedEx was their employer under federal and state laws. (Legal Reader)

Drone industry delight at new US rules
The rules regarding flying drones in the United States have been greatly relaxed, paving the way for thousands of businesses to fly legally in the country's airspace.
Existing Federal Aviation Authority (FAA) rules had meant commercial operators needed a pilot's license in order to fly even small drones - a stipulation industry advocates said was unnecessarily restrictive.
In addition to the license, commercial drone operators had to apply to the FAA on a case-by-case basis to gain permission. To date, only 5,300 commercial applicants were successful in gaining permission from the FAA, a tiny fraction of drones owned in the US.
From August, commercial drone operators will be able to fly by meeting much simpler criteria.
Companies like Amazon and Walmart have expressed interest in using drones for deliveries, but the FAA said that idea remains for now off limits while more research is conducted.
"It has really brought down the barriers of entry for the masses," said Matthew Grosack, an attorney for law firm DLA Piper.
Mr Grosack has followed the legal issues around drone use closely, a sector that provides rich pickings for new legal arguments.

Regulators Issue Cybersecurity Threat-Sharing Rules
Regulators have released final procedures for how the government handles cybersecurity information shared by companies, but health-care organizations are already embracing data-sharing communities as a way to better prepare for cyberthreats.
The Department of Homeland Security and the Department of Justice also released instructive guidance to companies that wish to gain liability protection if they share cybersecurity threat information with the government (81 Fed. Reg. 39,061, 6/15/16) (RIN:2016–134742). The documents outline the protections private companies can obtain under the Cybersecurity Information Sharing Act (CISA), passed in 2015.
While the health-care industry welcomed the guidance, many hospitals and payer organizations over the past year have used both informal programs and federal data-sharing organizations to share cyberthreat information, Lee Kim, director of privacy and security for the Healthcare Information and Management Systems Society, told Bloomberg BNA. U.S. House panel claims oversight of state climate probes into Exxon
A Republican-led congressional committee sought on Friday to assert oversight over inquiries that about 20 states are making into Exxon Mobil and climate change, reiterating demands to know more about state attorneys general's consultations with environmental groups.
In a letter, some 17 members of Congress and ranking members of the House Science, Space, and Technology Committee said they have broad jurisdiction that allows them to review investigations carried out by states. The committee was pushing back against state officials who have said they are not subject to federal oversight.
The standoff is the latest in a high-stakes battle between the world's largest publicly traded oil company and a coalition of state attorneys general who have said they would go after Exxon in a bid to force congressional action to tackle climate change. (Reuters)

New York hedge fund exec in apparent suicide after insider trading charges-police
Sanjay Valvani, a hedge fund manager at Visium Asset Management LP who was criminally charged last week in a major insider trading case, has been found dead in an apparent suicide, the police said on Tuesday.
Prosecutors last Wednesday unveiled charges against Valvani alleging he fraudulently made $25 million by getting advance information about U.S. Food and Drug Administration approvals of generic drug applications.
Prosecutors said the inside information was provided by Gordon Johnston, a political intelligence consultant and former employee at the FDA, who got it from a friend, who still works at the agency. (Reuters)

A school girl’s incredible “relationship contract” preventing her boyfriend from talking to “hoes” has gone viral on Twitter.
The unnamed eighth grader — who will be roughly 14 — has embraced the world of contract law in order to keep her man in check. The terms and conditions, which according to Twitter user Max Linsky were discovered on a classroom floor, has amassed a whopping 8,121 retweets in just seven days. (Legal Cheek)
