In the bank: Global 100 firms bill ?14.5m on mega ARM acquisition


US and Magic Circle advisers on the mega acquisition of ARM holdings by Japanese group SoftBank will together rake in ?14.5m in fees, the latest deal documents show.


Slaughter and May, Freshfields Bruckhaus Deringer, Davis Polk & Wardwell and Morrison & Foerster acted on the ?24.3bn transaction, one of the largest ever European M&A deals and Softbank‘s biggest buy to date.


But the legal fees pale in comparison to the ?51.5m financial advisers took for acting for the UK tech business ARM. In addition, public relations adviser Brunswick raked in ?4m. (Legal Business)

Macfarlanes gets the gig as firms line up on Verizon’s $2.4bn purchase of Fleetmatics


Just days after the headline grabbing acquisition of Yahoo!, Goodwin Procter, Cleary Gottlieb Steen & Hamilton, A&L Goodbody and Macfarlanes are among those who have landed roles advising on Verizon‘s purchase of Fleetmatics Group.


US internet giant Verizon has agreed to buy the Dublin-based and New York Stock Exchange-listed vehicle communications company for $60 a share in cash, valuing the offer at around $2.4bn.


Verizon was advised by US firm Cleary Gottlieb, Macfarlanes in London and A&L Goodbody on the Irish side of the deal. The Macfarlanes team advising Verizon was led by a trio of partners in Graham Gibb, Nicholas Barclay and Ashley Greenbank.


Fleetmatics was advised by Goodwin Procter technology partners Kenneth Gordon, James Matarese and Joseph Theis. Maples and Calder also advised on the Fleetmatics side.


Ashurst advised Wells Fargo and PJT Partners, the joint financial advisers to Verizon on the deal. The Ashurst team was led by corporate partners Adrian Clark and Karen Davies. (Legal Business)

Oracle to Buy NetSuite in $9.3B Deal


Oracle said it would buy NetSuite in a deal valued at about $9.3 billion to expand into the fast-growing cloud market.


Netsuite shares rose 18.6 percent to $108.64 in premarket trading, just shy of the offer price of $109 per share.


Like rivals SAP and Microsoft, Oracle has focused on moving its business to the cloud-based model, essentially providing services remotely via data centers rather than selling installed software.


NetSuite, founded in 1998, pioneered the cloud computing revolution, by creating the first company dedicated to providing business applications over the internet.


Oracle has also acquired companies such as Textura and Opower to increase its competitiveness in the cloud market. (Foxbusiness)

Tokyo law firm to acquire Thai practice


Mori Hamada & Matsumoto, one of Japan’s largest law firms, is to acquire Thailand‘s Chandler & Thong-ek.


The deal marks the first time that a Japanese legal group acquires a foreign firm of this scale and will see the Bangkok-based firm serve as the centre for Mori Hamada’s operations in the region, which will span 60 lawyers. (Nikkei Asian Review)

‘Cut through the noise’: Nextlaw partners with AI firm for Brexit contracts system


In the latest play for Dentons‘ tech joint venture, Nextlaw Labs has developed an artificial intelligence (AI) programme with London IT firm RAVN Systems to assess the impact of the Brexit vote on companies’ contracts.


Dentons and Nextlaw worked with AI software developers RAVN to create a programme which uses RAVN‘s ’Applied Cognitive Engine‘ and uses a bespoke algorithm to produce a report highlighting areas requiring legal attention.


The advanced search engine is being applied to Brexit-related contracts, sifting through high volume documents to identify issues that could be raised by the UK’s exit from the European Union.


The developers say the AI will cut down review time for lawyers and remove the potential for human error in reviewing contract documents.


The firm is piloting the technology in the US and the UK, applying it to real legal problems, with Brexit contract issues a key starting point. Nextlaw chief executive Dan Jansen said the firm had been drawing on feedback from lawyers and was collecting ideas for new products covering financial services, IP, media, transport, environment and telecoms. CrowdJustice: Mum of Brit who tried to kill Donald Trump sets up crowdfunding page to have him returned to the UK


The mum of Michael Sandford, who allegedly tried to kill Donald Trump, has set up a crowdfunding page to have him released from his American prison and sent back to the United Kingdom.


20-year-old Sandford hit the headlines earlier this summer when he was arrested in Las Vegas for trying to grab a policeman’s gun at a Republican rally, supposedly in an attempt to assassinate Trump.


The Brit has been charged with disrupting an official function and two firearm offences, and is facing a 30 year prison stint if found guilty - something his mum, Lynne, is struggling to come to terms with.


Lynne has turned to CrowdJustice, a website set up by former Linklaters lawyer Julia Salasky, in a bid to bring her son home. She‘s raised over ?20,000. (Legal Cheek)

Pavia & Ansaldo win Uber ban


An Italian court has banned unlicensed car-sharing services such as those offered by Uber throughout the country, in another setback for the fast-growing US car service.


Italian taxi drivers and their organisations hired Nico Moravio and Marco Gistiniani, partners at Pavia e Ansaldo along with Dr Alessandro Fabbi, research fellow in civil procedure at the Sapienza University of Rome, to argue their case against the fast-growing company. Banning Uber, the court said the service, which connects private drivers with passengers through a smartphone app, created ’unfair competition‘. It is the latest in a series of legal challenges facing the San Francisco-based company, a start-up which has quickly grown into a business worth approximately $40 billion. Uber was given 15 weeks to comply or will be fined €20,000 for each day’s delay adhering to the court ruling. (Reuters; TopLegal)

Uber faces ban in Taiwan


Car-bookisng app Uber could be banned in Taiwan, after state officials claimed the company did not operate lawfully within the ‘country’.


On Wednesday, treasury authorities said Uber‘s licence could be revoked because it was registered as a software company, not as a taxi service.


But hours later, the Executive Yuan government said it wanted to discuss options with Uber.


Some Uber drivers in Taiwan have had their individual operating licences suspended, according to reports.


Taiwan’s transport ministry says it has already fined Uber drivers a total of 65m Taiwan new dollars.


At the heart of the issue is the question of whether Uber is a software or transportation company.


The potential ban in Taiwan comes two months after a court in France fined Uber for running what it deemed an illegal transport service that used non-professional drivers.


In July, Uber ceased operations in Hungary after state officials blocked internet access to the app, referring to it as an “illegal dispatcher service”. (BBC)

Turkish government storms top law firm as another abandons practice in North Korea


A Turkish law firm affiliated with City giant DLA Piper has been closed down by the government following its alleged involvement in the country‘s attempted coup.


According to local media reports, the country’s largest law firm YukselKarkin - which formed an allegiance with DLA Piper in 2010 - is no more.


In the wake of a failed coup - when, just one day after the Nice terror attack in early July, the Turkish military attempted to overthrow the government - “armed police” raided YukselKarkin and arrested four of the firm‘s partners.


Moving yet further to the east and news breaks that North Korea’s only foreign law firm has aborted its practice. (Legal Cheek)

US Supreme Court blocks transgender toilet ruling


The US Supreme Court has temporarily overturned a ruling that allowed a transgender high school student to use the bathroom of his choice.


It is the first time that the fraught discussion over transgender bathroom rights has reached the country‘s highest court.


Judges voted 5-3 to halt a lower court’s order that Gavin Grimm, 17, be allowed to use the boys‘ bathroom.


They will consider the case again in the autumn. (BBC)

Demand dips in US legal sector during second quarter


Thompson Reuters’ Peer Monitor says US law firms have been ‘blindsided’ by a drop in demand across nearly all practices in the second quarter.


Peer Monitor has reported a 0.9 per cent decline in demand for legal services in the US market across the second quarter, marking the first time in ten consecutive quarters that demand hasn‘t continued its upward trajectory. Peer Monitor measures demand as growth in billable hours and incorporates data from 151 firms including 53 from the AmLaw 100, 42 from the AmLaw 200 and 56 midsized firms. Researchers concluded that the softer market fell hardest on the bottom half of the AmLaw 200; demand across the AmLaw 100 was down 1 per cent this quarter and 0.2 per cent so far in 2016, compared with 1.8 per cent for the second quarter for firms in the AmLaw 200. Midsized firms, defined as those with 200-plus attorneys which are not part of the AmLaw 200, have been largely unaffected by the slump in demand. (American Lawyer)
